Article 1 — Definitions
In these general terms and conditions, the contractor means: Vertikaal Bouwbedrijf, established in Hoorn, registered with the Dutch Chamber of Commerce (KvK) under number 97223603. The client means any natural person or legal entity that enters into an agreement with the contractor.
Article 2 — Applicability
These terms apply to all quotations, offers, work, agreements and deliveries of services or products by the contractor. Deviations are only valid if agreed in writing. For construction work, the UAV 2012 (Uniform Administrative Conditions for the Execution of Works) additionally apply, insofar as not expressly deviated from.
Article 3 — Quotations and agreement
Quotations are without obligation and valid for 30 days, unless stated otherwise. An agreement is concluded when the client accepts a quotation issued by the contractor in writing (email suffices).
Article 4 — Prices and payment
All prices are in euros and exclusive of VAT, unless stated otherwise. Payment must be made in the agreed instalments. In the event of late payment, the client is in default without further notice of default and statutory (commercial) interest is due. Extrajudicial collection costs are borne by the client.
Article 5 — Additional and reduced work
Changes resulting in additional or reduced work are confirmed in advance in writing (by email) and settled in the final invoice.
Article 6 — Execution
The contractor performs the work to the best of its knowledge and ability, in accordance with the standards of good craftsmanship. Stated deadlines are indicative, unless expressly agreed otherwise.
Article 7 — Liability
The liability of the contractor is limited to the amount paid out in the relevant case under its liability insurance policy. If the insurer does not pay out, liability is limited to the invoice amount of the assignment concerned. The contractor is never liable for indirect damage, consequential damage or business losses.
Article 8 — Warranty
The contractor provides a warranty on the work it has carried out. The exact duration and scope are set out in the order confirmation. The warranty lapses if third parties have carried out work on the delivered project without permission.
Article 9 — Force majeure
In the event of force majeure, the contractor is entitled to suspend performance. Force majeure includes, among other things: extreme weather conditions, strikes, pandemics, illness of key personnel, and shortages of materials beyond the contractor’s control.
Article 10 — Complaints
Complaints about the work carried out must be reported in writing within 14 days of handover. After this period, the work is deemed to have been approved.
Article 11 — Governing law and disputes
All agreements are governed exclusively by Dutch law. Disputes will be submitted exclusively to the competent court in the district of Noord-Holland.
